Terms & Conditions of Use

These Terms & Conditions govern access to and use of the TenderReady supplier bid optimisation tools, including ScoreCheck, Bid Booster™, ProofBuilder™, Capability Pathways and the TenderReady Evaluation.

TenderReady is a product of Clause & Effect. These terms supplement the main Clause & Effect Terms & Conditions, which apply to all services operated under the Clause & Effect platform. In the event of any conflict, these TenderReady-specific terms prevail for TenderReady services.

By accessing or using any TenderReady tool, you agree to be bound by these Terms. If you do not agree, do not use TenderReady.


1. Nature of the Service

1.1 TenderReady provides AI-powered tools to help suppliers assess, improve and strengthen their government bid responses.

1.2 TenderReady is an advisory and support tool only. It is not a substitute for professional bid writing, legal advice, procurement consultancy, or compliance assurance.

1.3 All scores, recommendations, gap analyses, rewritten responses, case studies and other outputs generated by TenderReady are indicative only and must be independently reviewed, verified and approved by qualified personnel before use in any bid submission.

1.4 TenderReady does not guarantee that using its tools will result in higher bid scores, contract awards, or any particular procurement outcome.

2. TenderReady Tools

The following tools are available through TenderReady:

2.1 ScoreCheck

Analyses bid response text against Australian procurement evaluation frameworks. Produces indicative scores (0–5) across evaluation dimensions, identifies gaps and compliance flags. Scores are simulated estimates and do not represent actual evaluator scores.

2.2 Bid Booster™

Generates an AI-improved version of your bid response with before/after score comparisons. The rewritten response is a starting point for improvement and must be reviewed, edited and approved before use.

2.3 ProofBuilder™

Generates formatted case studies from project information. Case studies require review for accuracy, completeness and alignment with the specific tender requirements.

2.4 TenderReady Evaluation

A self-assessment tool that evaluates organisational bid-writing capability across 5 pillars. The assessment runs entirely in your browser and results are not transmitted or stored. Results are advisory and represent a point-in-time self-assessment, not an independent audit or certification.

2.5 Capability Pathways

Provides curated learning resources and development pathways. External resource links are provided for reference and we are not responsible for their content, availability or accuracy.

3. Content and Data Handling

3.1 Bid content submitted through ScoreCheck, Bid Booster™ and ProofBuilder™ is processed in real time using AI and is not permanently stored in a database.

3.2 Your content is not used to train AI models.

3.3 TenderReady Evaluation answers are processed entirely in your browser and are not transmitted to our servers.

3.4 Uploaded files (PDF, DOCX, TXT) are processed in memory for text extraction and are not retained after processing.

3.5 You retain ownership of all content you submit. You grant us a limited licence to process that content solely to provide the TenderReady service during your session.

4. Important Disclaimers

Please read carefully:

  • Advisory only: TenderReady outputs are AI-generated guidance, not professional advice.
  • No guarantee of scores: Simulated scores are indicative only. Actual evaluator scores will differ.
  • No guarantee of success: Using TenderReady does not guarantee contract awards.
  • Human review required: All AI-generated content must be reviewed by qualified personnel before submission.
  • Not legal/procurement advice: TenderReady is not a substitute for legal, procurement or compliance advice.

4.1 TenderReady tools produce outputs based on general Australian procurement frameworks and evaluation practices. They do not account for specific agency requirements, undisclosed evaluation criteria, or evaluator preferences.

4.2 Scores generated by ScoreCheck and Bid Booster™ are simulated using AI analysis of your text against general evaluation frameworks. They are not predictions of actual evaluation outcomes.

4.3 The accuracy of AI outputs depends significantly on the quality, completeness and clarity of the content you submit.

4.4 TenderReady does not provide assurance that any output will comply with specific tender requirements, evaluation frameworks, or jurisdictional rules that may apply to a particular procurement.

5. Acceptable Use

You must not:

5.1 Use TenderReady to submit content that is false, misleading, fabricated, or misrepresents your organisation's capabilities in a bid;

5.2 Upload personal information, confidential pricing models, security-classified material, or privileged content;

5.3 Use TenderReady outputs as-is without human review and approval;

5.4 Represent TenderReady scores as official evaluation scores or use them in official procurement documentation;

5.5 Use TenderReady to build, train or benchmark a competing product or service;

5.6 Attempt to reverse engineer, scrape or extract the AI models, prompts, logic or scoring methodologies;

5.7 Use automated tools, bots or scripts to access TenderReady unless expressly approved.

6. Your Responsibilities

6.1 You are solely responsible for the accuracy and completeness of content submitted to TenderReady.

6.2 You are solely responsible for reviewing, editing and approving all TenderReady outputs before inclusion in any bid submission.

6.3 You are solely responsible for ensuring your final bid submission complies with all applicable tender requirements, evaluation criteria, legislation and procurement rules.

6.4 You acknowledge that TenderReady is a support tool and all bidding decisions remain yours.

7. Intellectual Property

7.1 TenderReady, its tools, scoring frameworks, AI models, prompts, logic, user interface, content and branding are the intellectual property of the Licensor.

7.2 You retain ownership of your pre-existing content submitted for analysis.

7.3 AI-generated outputs (improved responses, case studies, recommendations) are provided for your use in bid preparation but remain subject to the intellectual property provisions in the main Clause & Effect Terms.

9. Availability and Changes

9.1 TenderReady may be modified, updated, restricted or discontinued at any time without notice.

9.2 Scoring frameworks, evaluation dimensions and AI models may change as procurement practices evolve.

9.3 We do not guarantee continuous, uninterrupted or error-free access to TenderReady tools.

10. Governing Law

10.1 These Terms are governed by the laws of New South Wales, Australia.

10.2 The parties submit to the exclusive jurisdiction of the courts of New South Wales and the Commonwealth of Australia.
